1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and TurnKey Solutions And Consulting Inc. ("TurnKey Solutions," "we," "our," or "us"), a C Corporation incorporated in the United States.

By requesting services, signing a project proposal, making a payment, or using our website at qagate.io, you confirm that you have read, understood, and agreed to these Terms. If you are accepting these Terms on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Services Provided

TurnKey Solutions And Consulting Inc. provides the following categories of technology services:

The specific services to be performed in any engagement are defined in a written project proposal or service agreement, which forms part of these Terms.

3. Engagement and Project Scope

Proposals and agreements

All projects begin with a written proposal detailing the scope of work, deliverables, timeline, and price. The proposal is valid for 30 days from the date of issue. An engagement begins when you approve the proposal in writing (email approval is sufficient) and pay the required deposit.

Scope changes

Any changes to the agreed scope of work must be requested in writing and will be evaluated for impact on timeline and cost. We will provide a written change order before proceeding with out-of-scope work. Verbal scope changes are not binding on TurnKey Solutions.

Timeline

Project timelines are stated in the proposal and are dependent on timely provision of required information, feedback, and approvals from the Client. Delays caused by the Client may extend the project timeline without additional cost to TurnKey Solutions.

4. Payment Terms

Standard payment schedule

Late payments

Invoices not paid within 14 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance. TurnKey Solutions reserves the right to pause work on active projects when invoices are more than 14 days overdue and to resume only upon payment.

Accepted payment methods

We accept payment by bank transfer (ACH), credit or debit card (via PayPal or Stripe), and wire transfer. All prices are in US dollars unless otherwise specified in the proposal.

Refunds

Deposits are non-refundable once work has commenced. If a project is cancelled by the Client before work begins, the deposit may be refunded less any administrative costs incurred. If a project is cancelled mid-engagement, payment is due for all work completed to the date of cancellation. TurnKey Solutions will provide a final invoice for work completed.

Taxes

Prices do not include sales tax, use tax, or other applicable taxes. You are responsible for any taxes applicable to your purchase under the laws of your jurisdiction.

Ownership of deliverables

Upon receipt of full payment, TurnKey Solutions assigns to you all intellectual property rights in the custom deliverables created specifically for your project (custom code, designs, and written content). This assignment does not include:

We reserve the right to describe your project (without revealing confidential details) in our portfolio and marketing materials, unless you request otherwise in writing before project commencement.

Client content

You retain all ownership rights in content, trademarks, data, and materials you provide to us. You grant TurnKey Solutions a limited license to use this content solely for the purpose of performing the contracted services.

7. Data Handling and Confidentiality

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information disclosed during the engagement ("Confidential Information"). Confidential Information will not be disclosed to third parties except as required to deliver the services or as required by law.

When we handle your client data (including personal data of your end users) as part of delivering a service, we act as a data processor under your direction. We will:

Security

We implement industry-standard security practices including encrypted data transmission, access controls, and secure credential management. However, no internet transmission is completely secure, and we cannot guarantee absolute security.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TurnKey Solutions And Consulting Inc.'s total liability to you for any claim arising out of or related to these Terms or our services is limited to the total fees you paid to us in the 12 months immediately preceding the claim.

9. Warranty and Disclaimers

Limited warranty

TurnKey Solutions warrants that our services will be performed in a professional and workmanlike manner consistent with industry standards. For software deliverables, we provide a 30-day warranty period after delivery during which we will fix any bugs or defects at no additional charge.

Except as expressly stated above, all services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that software will be completely error-free or that it will operate without interruption. We do not warrant specific business outcomes, conversion rates, revenue, or regulatory approvals.

10. Termination

Termination by Client

You may terminate an active project by providing written notice. Upon termination, you will receive all completed work to date. Payment is due for all work completed and expenses incurred through the date of termination. The deposit is non-refundable.

Monthly retainer cancellation

Monthly retainer services (such as QA retainers or maintenance plans) may be cancelled with 30 days' written notice. You will be responsible for any fees incurred during the notice period.

Termination by TurnKey Solutions

We may terminate an engagement immediately if you breach these Terms and fail to cure the breach within 7 days of written notice. We may also suspend or terminate services if we reasonably believe your use of our services violates applicable law.

You agree to defend, indemnify, and hold harmless TurnKey Solutions And Consulting Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

12. Governing Law and Dispute Resolution

Governing law

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the state of the principal place of business of TurnKey Solutions And Consulting Inc., without regard to conflict of law principles.

Informal resolution

Before filing any formal legal claim, both parties agree to attempt to resolve disputes informally. Either party may initiate this by sending a written notice of the dispute to the other party. The parties will negotiate in good faith for a period of 30 days.

Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exception

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or confidentiality obligations.

Class action waiver

You agree that any dispute will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated by email to active clients at least 30 days before taking effect. The updated Terms will be posted on this page with a revised "Last Updated" date.

Your continued use of our services after the effective date of updated Terms constitutes your acceptance. If you do not agree to the revised Terms, you may terminate your engagement in accordance with Section 10.
